Job Summary:

As a Corporate and Securities Paralegal, you will play a vital role in providing legal support, assistance, and project management to the legal team in matters related to corporate governance, securities transactions, litigation support, mergers and acquisitions, and other general corporate matters. This role requires a strong understanding of securities laws, excellent attention to detail, and the ability to handle multiple tasks in a fast-paced corporate environment.

Responsibilities:

  • Assist in the preparation, review, and filing of certain documents with the SEC, including Section 16 filings, proxy statements, and press releases. Assist to ensure the company's compliance with SEC regulations, stock exchange rules, and corporate governance guidelines.
  • Provide support and project management for the equity administration process, including management of designated insider list, review of insider 10b5-1 plans, and open trading window trading activities.
  • Support the legal team in corporate governance and board management matters, including drafting, revising, and maintaining certain policies, committee charters, and delegation of authority.
  • Assist the legal team with preparation and review of materials for board meetings, including management of board minutes and consents and obtaining required signatures.
  • Conduct legal research as needed regarding SEC regulations, guidelines, and best practices. Stay current on changes in securities laws and advise the legal team on potential impacts or compliance requirements.
  • Assist with possible securities offerings, repurchase transactions, dividends, and any transactions requiring SEC compliance.
  • Routinely update and review training programs on SEC compliance and corporate governance for employees and stakeholders.
  • Work with internal personnel and outside counsel to provide support related to litigated matters, including gathering and organizing documents and other related evidence in the discovery process.
  • Assist the legal team with other matters related to litigation and pre-litigation investigations.
  • As needed, provide general support for the company's mergers and acquisitions activities.

Qualifications:

  • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field. Additional certifications or specialized training in SEC compliance or corporate governance is a plus.
  • Minimum 5 years of experience as a paralegal in a law firm, corporate legal department, or regulatory agency, with a focus on SEC compliance.
  • Strong knowledge of SEC regulations, securities laws, and corporate governance principles.
  • Proficiency in using legal research tools and databases.
  • Excellent organizational and project management skills and attention to detail.
  • Strong written and verbal communication skills.
  • Ability to work independently and manage multiple projects with competing deadlines.
  • Proficiency in Microsoft Office Suite and other relevant software applications.
  • Professionalism, integrity, and ability to maintain confidentiality.
  • Strong preference for exposure to litigation or willingness to learn litigation paralegal matters such as written discovery, subpoena document collection, and assisting with pre-litigation investigations.
